Keep the Lights On — and the Bills Down
Solar and battery power for Caribbean homes, villas and boats. It keeps everything running when the power goes out — and cuts your electricity bill every sunny day the rest of the year.
Three Sizes. Pick the One That Fits.
Portable lithium power stations with sockets built in and matching fold-out solar panels — no rooftop installation and no electrician. Choose the size that matches what you want to keep running.
Essentials
Keeps the basics running — fridge, lights, fans, Wi-Fi and phone charging. Our entry-level system for outages and everyday savings.
Request a QuoteComfort
Adds the TV, laptop and home office, and medical devices such as a CPAP machine — so life carries on as normal through an outage.
Request a QuoteOne Cooled Room
Our largest system — adds enough power to run a window or portable air-conditioning unit, so you can keep one room cool.
Request a QuoteThe Battery Stores It. The Sun Refills It.
The power station is the fuel tank — it holds the energy and powers your appliances through its built-in sockets. The fold-out solar panels are the fuel pump, topping it back up every sunny day. Each size comes with a solar charge controller and can also be charged from a normal wall socket.
Charge It Up
Keep it charged from the wall or the sun, ready for the next outage — or use it every day to cut your bill.
Plug In
When the power goes, plug your fridge, fans, lights and devices straight into the unit. Nothing to wire, nothing to start.
Top Up From the Sun
Set the panels out in the sun each morning. In Caribbean sunshine, every 100 W of panel adds roughly 0.4 kWh a day back into the battery.
| Size | Battery | Recommended solar | Solar top-up per sunny day |
|---|---|---|---|
| EssentialsFridge, lights, fans, phones | approx. 2 kWh | ~200 W of panels | about 0.8 kWh |
| ComfortAdds TV, laptop, CPAP | approx. 5 kWh | ~600–800 W of panels | about 2.4–3.2 kWh |
| One Cooled RoomAdds a window or portable AC | approx. 10 kWh | ~1,200–1,600 W of panels | about 4.8–6.4 kWh |
Solar figures are estimates based on around four hours of effective full sun a day, with panels angled towards the sun. Cloud, shade and panel position all make a difference. In a long outage, solar stretches how long your battery lasts; running an air-conditioner all day will still draw the battery down over time. We’ll size the panels to what you want to run.
A System That Pays for Itself
A generator sits idle until the power fails — and costs you money every time it runs. A solar and battery system works for you every day of the year, running on free energy from the Caribbean sun.
Runs Year Round
Charge from the sun by day and run your essentials from the battery — every day, not just when the grid goes down.
Cuts Your Electricity Bill
Electricity in the Caribbean is expensive. Every unit you make from sunshine is one you don’t buy from the utility.
Pays You Back
The savings keep adding up, so the system can pay for itself surprisingly quickly. Tell us your monthly bill and we’ll estimate how fast.
The Modern Alternative to a Generator
For years a generator has been the default backup in the Caribbean. Battery systems do the same job without the drawbacks — and with solar charging, they keep going long after the fuel would have run out, and keep saving you money long after the power is back.
The Old Way
- Noisy — for you and your neighbours
- Needs fuel, which can be scarce after a storm
- Exhaust fumes — must be run outdoors
- Regular servicing and start-up checks
- Must be started when the power fails
- Costs you money every time it runs
The Better Way
- Silent — runs indoors with no fumes
- Recharges from the sun or a wall socket
- Little or no routine maintenance
- Ready to go when the power fails
- Portable — move it to wherever you need power
- Saves you money every day it runs
Specified for Your Island
Backup power has to match what you want to run and your island’s electricity supply. We check the details before we quote.
Sized to What You Run
Tell us what you need to keep going — fridge, freezer, lights, fans, pool pump, medical equipment — and for how long. We’ll recommend the right capacity, not the biggest box.
Matched to Your Supply
Voltage and frequency differ across the Caribbean. Every system we quote is confirmed for your island’s supply before you order.
No Installation Needed
Everything is portable and plug-in — no rooftop panels, no wiring into your home and no electrician. Set the panels out in the sun, plug in your appliances and you’re running.
Ready Before the Next Outage?
Tell us what you’d like to keep running, your island and your typical monthly electricity bill — we’ll recommend a system, quote a landed price and estimate your savings. No obligation.

Why the Confession Series
Solar LED Lighting
Built-in solar panel charges during the day. Integrated LED lighting activates at dusk — warm, neutral, and cool white options. No wiring, no electrician required.
Rotating Open & Close

Premium Construction
Cantilever design with weighted base — no centre pole obstruction. UV-resistant, water-repellent fabric.
Traditional & Classic Styles
Beyond the Confession Series, we can also source classic market-style and double-tier cantilever parasols — for anyone who wants a more traditional silhouette, bolder colour, or a lower price point without the solar LED feature set.
Bold Colour Option
A deep burgundy double-tier canopy on the same cantilever frame — for anyone wanting a statement colour rather than a neutral tone.

Outdoor Kitchens & BBQs
Modular outdoor kitchens in marine-grade 316 stainless steel — designed for salt air, sun and tropical storms, and configured to fit your terrace, pool deck or courtyard.
Built Around Your Space
Every kitchen is put together from modular units — grill, sink, drinks fridges, storage, pizza oven or kamado — so you get exactly the layout you want. Choose from white, grey, dark and stone-look door finishes.
Grill island with separate breakfast bar
Full run with grill, drinks fridges and sink
Under a timber pergola, with bar seating
Dark finish on a timber deck
Stone-look finish with long bar counter
Poolside run with kamado grill
Images are concept renders showing typical layouts. Every kitchen is configured to your space and specification.
Why Marine-Grade?
Made for the Caribbean
316 Stainless, Not 304
Most outdoor kitchens use 201 or 304 stainless, which pits and rusts in coastal air. Ours are 316 marine-grade throughout.
Fully Equipped
Gas grills, side burners, sinks, drinks fridges, bins and storage — specified together so everything fits and works as one.
One Landed Price

Clamp-On Stern Thruster
Spin your boat on the spot and dock with confidence. It clamps straight onto your outboard or sterndrive — no drilling into the engine, nothing below the waterline, and around half the cost of a traditional thruster.
Why Boat Owners Love It
A compact electric thruster that clamps just above the cavitation plate of your outboard or sterndrive. At the press of a button it pushes the stern sideways, so you can turn the boat through 180° — or a full 360° — without moving forward. Tight marinas, crosswinds and single-handed docking become simple.
- Two Sizes
- 30 & 40 kgf for boats up to 30ft or 35ft
- Fitting
- Clamp-on no changes to your engine
- Power
- 24v from two 12v batteries
- Control
- Wireless 2 waterproof handhelds included
Clamped to an outboard, ready to go
Bidirectional prop, just below the surface
Fitted to a sterndrive — no holes in the leg
Clamped just above the cavitation plate
Spins on the Spot
Rotate the boat in its own length — a 28ft, 2,650kg boat turns a full circle in around 30 seconds, almost silently.
Easier Docking
Walk the stern onto the pontoon or into a tight berth, even in a crosswind — ideal when you’re short of crew.
No Engine Modification
A simple clamp holds it firmly above the cavitation plate. Take it off and you would never know it had been there.
Minimal Installation
No tunnel, no holes below the waterline. Just one small cable-entry hole above the waterline, usually under the bathing platform — a sealed gland is supplied.
Low Maintenance
Trim the leg up after use and the thruster lifts clear of the water — a real advantage in warm Caribbean water.
Great Value
Around half the cost of a traditional thruster system, and a fraction of the installation cost.
Twin Engines? Still Worth It
Twin outboards usually sit close together, so splitting the throttles gives surprisingly little turning power. A stern thruster pushes the stern sideways directly — a low-cost upgrade that makes close-quarters handling far easier.
Fits Almost Any Engine
Works on outboards and sterndrives alike. If your engine or leg is unusual, a mounting bracket can be designed to fit — just tell us your make and model.
Choose Your Size
Two Models
30 kgf Thrust
For boats up to 30ft. Easily turns a 28ft, 2,650kg sports boat through a full circle.
40 kgf Thrust
For boats up to 35ft — extra push for bigger and heavier boats.
Sizing is a guide rather than an exact science — tell us your boat’s length, weight and engines and we’ll recommend the right model.
Included
1 × thruster unit with bidirectional propeller
1 × clamp mounting bracket
1 × extended through-transom cable gland
2 × waterproof wireless handheld controllers
1 × clip-in dash bracket for the controller
1 × battery harness (two 12v batteries to 24v, with charging circuit)
1 × 12v fused lead to connect to the boat’s 12v supply
Designed for straightforward DIY or boatyard installation, with clear instructions and technical support. We recommend a marine electrician for the battery and charger connections.

How to Measure Your Windows
Follow this carefully — in metric or imperial — before requesting a quote.
Inside or Outside Mount?
- Inside mount — blind fits within the window recess. Clean, built-in look.
- Outside mount — fixed above and around the window. Better for shallow recesses.
Measure Width — Inside Mount
Measure recess width at three points: top, middle, bottom. Record the narrowest. In mm or inches and fractions (e.g. 34⅜″). Do not add any allowance — we apply the correct manufacturing deduction.
Measure Height — Inside Mount
Measure height at three points: left, centre, right. Record the tallest. Note any obstructions — handles, locks, or architraves.
Outside Mount
- Add at least 2″ (50mm) overlap each side of the window opening
- Add at least 2″ (50mm) above for the headrail
- Decide how far below the sill you want the blind to fall
Before Submitting — Check
- All measurements in the same unit (mm or inches — not mixed)
- Width recorded first, then height
- Inside or outside mount noted for each window
- Any obstructions noted
DIY Installation Guide
Installing your blinds or shutters is straightforward with the right preparation.
Tools Required
- Power drill with masonry bits (for concrete block walls — common in Caribbean homes)
- Spirit level · Pencil · Steel tape measure · Screwdrivers · Wall plugs appropriate for your wall type
Mark Fixing Points
Hold the headrail bracket in position and use a level to ensure it’s perfectly horizontal before marking. Inside mount: position at the very front of the recess.
Drill & Fix Brackets
Caribbean homes frequently have concrete block walls — use masonry drill bits and plugs rated for the load. Insert plugs and fix brackets securely.
Hang the Blind or Shutter
Clip or slide the headrail into the fixed brackets. Most systems click or lock into place. Test operation before completing.
Final Checks
- Operate fully up and down · Check the level · Fix any side channels or bottom rails · Tighten all fixings
Stone Flooring in Caribbean Conditions
How to choose, install, seal, and care for natural stone in a tropical environment.
Choosing the Right Stone
- Porosity: More porous stones need sealing and careful maintenance
- Slip resistance: R10 or R11 ratings essential for wet areas and pool surrounds
- Heat retention: Lighter tones for outdoor sun-exposed areas
- Salt resistance: Confirm suitability for coastal salt air exposure
When Porcelain Is the Smarter Choice
- Areas subject to flooding or standing water
- High-traffic outdoor zones where minimal maintenance is priority
- Where timber aesthetics are desired but real wood is impractical
- Outdoors, choose 20mm anti-slip porcelain in a light tone — pale porcelain stays about as comfortable in the sun as pale natural stone
Installation
- Subfloor must be level, dry, and structurally sound
- Use adhesives rated for high humidity and tropical conditions
- Allow adequate curing time — especially important in humid climates
- Professional installation recommended for natural stone
Sealing Natural Stone
- Seal on completion — before grouting where possible
- Re-seal every 1–3 years depending on use and traffic
- Use a penetrating impregnator sealer — not a surface sealer
- Porcelain and ceramic tiles do not require sealing
Ongoing Care
- pH-neutral cleaners only — no bleach, vinegar, or harsh chemicals
- Clean spills promptly on unsealed stone
- Sweep regularly to remove grit that scratches surfaces
- Outdoor areas: regular rinsing removes salt and debris
Stern Thruster Installation Overview
An overview to help you check suitability and plan the fit of a clamp-on stern thruster.
Is It Right for My Boat?
- Boats up to 30ft (30 kgf model) or up to 35ft (40 kgf model), single or twin engines
- An outboard or sterndrive with a cavitation plate — unusual legs can have a bracket designed to fit
- Space aboard for two 12v batteries and a charger
Fitting the Unit
- Clamp the thruster just above the cavitation plate — no drilling into the engine or leg
- Route the cable into the boat through one small hole above the waterline, usually under the bathing platform
- Seal the supplied through-transom gland with marine sealant
- Tidy and secure the cable so it moves freely when the leg trims and steers
Electrical Connections
- Two 12v AGM batteries (20Ah+, 300 CCA+) wired to 24v with the supplied harness
- A Victron DC–DC charger keeps them topped up from the boat’s 12v system
- Connect the supplied fused lead to the boat’s 12v supply (usually the bus bar)
- We recommend a marine electrician for this stage
Testing & Everyday Use
- Pair the two wireless controllers and fit the dash bracket
- Test in open water before your first tight berth
- Trim the leg up after use to lift the thruster clear of the water
About Pan Caribbean Trading Co.
A sourcing and supply company built on one idea: if you’re working on a project in the Caribbean, we can help — and you have nothing to lose by asking.
Born From a Property Developer’s Problem
Pan Caribbean Trading Co. didn’t start as a trading company. It started with a property developer’s problem.
We’ve spent years developing property, most recently on projects in Bermuda and the Caribbean. On every one of them, the same obstacle appeared: the choice of materials, furniture, blinds, bathroom fittings, and finishes available locally was limited — and what was available carried a price tag that had very little to do with the cost of making it.
The reason became obvious once we looked closely. Much of what reaches the Caribbean — even furniture manufactured in Europe or the Far East — is routed through the United States first. Every one of those steps adds another layer of duty, tariff, and markup before the product ever reaches a Caribbean shore, regardless of where it was actually made.
Pan Caribbean Trading Co. exists to take that detour out of the supply chain. We source directly from manufacturers — in China, the UK, and Europe — and ship directly into the Caribbean, cutting out the US intermediary step entirely. The savings that step used to absorb get passed on, not pocketed.
It’s a simple idea, built on a problem we experienced ourselves, project after project. Four principles guide how we put it into practice:
No US Detour
We source directly from manufacturers and ship straight to the Caribbean — skipping the US routing that adds duty, tariffs, and markup to products that were never made there in the first place.
Honest & Transparent
If a product isn’t right for the Caribbean climate, or if we can’t beat local pricing, we’ll tell you. We’d rather be trusted than make a sale.
Zero Stock Risk
We order only against confirmed client requirements. No warehouse, no speculation, no minimum orders on most products.
Trade & Retail
We serve homeowners, developers, resorts, and trade clients equally. Builders, landscapers, and pool contractors are a key part of our business.
Across the Caribbean & Bermuda
We supply across the Caribbean and Bermuda, with landed-cost quotes calculated per island. The only territories we’re currently unable to serve are Cuba (due to trade sanctions) and Haiti (due to the current situation there) — everywhere else, ask us and we’ll do what we can.
Working on a Project?
Give us a try — you have nothing to lose. Tell us what you need and we’ll come back with options and pricing.
The Same Quality. A Fraction of the Price.
What we found when we tested the market for our own properties.
These estimates are based on genuine factory quotes we obtained in 2026, while fitting out our own properties and helping friends. They include our margin, shipping and import duty, and are compared with what the same or equivalent items cost from local retailers.
Shopping around can make the difference between adding value to your property and over-investing in it. When it’s time to sell, every dollar you didn’t overspend is yours to keep.

Shipping is priced by space, not by item. One sofa on its own is expensive to ship. A sofa, a dining table, blinds for the whole house and the garden planters can share the same container — and the estimates above could improve considerably.
Shipping cost per item (illustrative)
Prices shown are PCTC estimates based on factory quotes obtained in 2026, including PCTC’s margin and an allowance for freight, insurance and import duty, compared with typical local retail prices for the same or equivalent items at the time. They are illustrative only and do not constitute an offer. Actual prices and savings depend on product, quantity and destination.

Terms & Conditions of Sale
Version 2.0 · August 2026
These Terms and Conditions of Sale (“Terms”) apply to all orders placed with Pan Caribbean Trading Co. (“PCTC”, “we”, “us”) by any customer (“Customer”, “you”). By placing an order with PCTC, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms supersede any other terms or conditions which the Customer seeks to apply.
1. Definitions & Interpretation
1.1 Definitions
“PCTC” means Pan Caribbean Trading Corporation, trading as Pan Caribbean Trading Co., a company incorporated in the Republic of Panama (Folio No. 155788193), with registered address at Torre Advanced Building, 1st Floor, Ricardo Arias Street, Panama City, Republic of Panama. “Customer” means the person or entity placing an order. “Goods” means any products, materials, or items sourced and supplied by PCTC. “Order” means a written request by the Customer for PCTC to source and supply Goods, accepted by PCTC in writing. “Order Confirmation” means PCTC’s written acceptance of an Order.
1.2 Interpretation
References to “in writing” include email. Clause headings are for convenience only and do not affect interpretation. The singular includes the plural and vice versa.
2. Orders & Quotations
2.1 Quotations
All quotations provided by PCTC are indicative only and do not constitute a binding offer. Prices, specifications, dimensions, colours, lead times, and material availability shown in any quotation, on the PCTC website, or in any catalogue or supplier material are estimates based on information available at the time and may vary at the point of Order Confirmation due to factors including but not limited to currency movements, supplier pricing changes, and material availability.
2.2 Order Formation
No contract is formed between PCTC and the Customer until PCTC has issued a written Order Confirmation and received payment in full in cleared funds in accordance with Clause 3. PCTC reserves the right to decline any Order at its discretion prior to issuing an Order Confirmation.
2.3 Accuracy of Information
The Customer is responsible for ensuring that all specifications, dimensions, quantities, and delivery details provided to PCTC are accurate and complete. PCTC accepts no liability for errors arising from inaccurate information provided by the Customer.
3. Payment
3.1 Payment in Full Required
PCTC requires payment in full, in cleared funds, before any order is placed with a manufacturer, supplier, or freight provider. No Goods will be ordered, produced, or shipped on the basis of a deposit, part-payment, or promise of payment.
3.2 Payment Methods
Accepted payment methods and banking details will be confirmed at the point of Order. PCTC reserves the right to charge any reasonable bank transfer or payment processing fees incurred in receiving payment.
3.3 Prices & Duties
All prices are exclusive of import duties, taxes, port charges, customs clearance fees, and last-mile delivery costs unless expressly stated otherwise in the Order Confirmation. These costs remain the sole responsibility of the Customer. PCTC will advise on estimated destination charges where known but cannot guarantee their accuracy.
3.4 Currency
All prices are quoted in United States Dollars (USD) unless otherwise stated. Where currency conversion is required, the exchange rate applied shall be the rate prevailing at the time of payment.
4. No Returns or Cancellation Once Ordered
4.1 No Returns Policy
Because every item is sourced to order from PCTC’s manufacturing partners and PCTC holds no stock, PCTC does not operate a returns policy and cannot accept cancellation once an Order has been confirmed and placed with the relevant supplier. This applies equally to standard-specification items and bespoke or made-to-order items.
4.2 Customer Acknowledgement
The Customer acknowledges that once payment has been made and the Order confirmed, the transaction cannot be reversed except as provided under Clause 6 (Defects) or Clause 7 (Warranty). The Customer is advised to ensure all specifications are correct before confirming an Order.
5. Delivery & Lead Times
5.1 Estimated Lead Times
Lead times quoted by PCTC — whether for manufacturing, freight, or customs clearance — are estimates based on information provided by third-party manufacturers, freight forwarders, and customs agents, and are not guaranteed. PCTC will act reasonably and communicate promptly with the Customer on any known delay.
5.2 No Liability for Delay
PCTC accepts no liability for delay however caused, including but not limited to manufacturing delays, port congestion, customs delays, weather events, carrier scheduling changes, or force majeure events. Time is not of the essence for delivery under these Terms.
5.3 Delivery Updates
PCTC will provide the Customer with reasonable progress updates at intervals of approximately 2-3 weeks from Order Confirmation through to delivery. The Customer may request a status update at any time by contacting PCTC in writing.
6. Risk, Title & Inspection
6.1 Risk & Title
Risk in the Goods passes to the Customer in accordance with the shipping terms (Incoterms) confirmed on the Order. Title to the Goods passes to the Customer upon receipt of payment in full.
6.2 Inspection & Notification of Defects
The Customer is responsible for inspecting Goods promptly upon delivery and must notify PCTC in writing of any visible damage, shortage, or defect within 5 business days of delivery. Claims notified after this period may not be accepted, as PCTC’s ability to pursue a remedy with the manufacturer or carrier is time-limited. Where goods are delivered to a third party on the Customer’s behalf, the Customer remains responsible for ensuring timely inspection and notification.
7. Warranty
7.1 Manufacturer Warranty Pass-Through
PCTC does not manufacture the Goods it supplies. Any warranty applicable to the Goods is that provided by the relevant manufacturer and is passed through to the Customer on a back-to-back basis. PCTC will use reasonable endeavours to assist the Customer in pursuing warranty claims with the relevant manufacturer but accepts no independent warranty liability.
7.2 No Additional Warranty
Except as set out in Clause 7.1, PCTC makes no representation or warranty as to the fitness for purpose, merchantability, or quality of the Goods beyond what is stated in the manufacturer’s own specifications. The Customer is responsible for satisfying itself as to the suitability of Goods for their intended use prior to placing an Order.
8. Limitation of Liability
8.1 Liability Cap
PCTC’s total aggregate liability to the Customer in respect of any claim arising out of or in connection with an Order, whether in contract, tort (including negligence), or otherwise, shall not exceed the total price paid by the Customer for the Goods giving rise to the claim.
8.2 Exclusions
PCTC shall not be liable to the Customer for any indirect, consequential, special, or punitive loss or damage, including but not limited to loss of profit, loss of business, loss of opportunity, loss of anticipated savings, or any costs arising from delays to construction or renovation projects, regardless of whether such loss was foreseeable or PCTC had been advised of the possibility of such loss.
8.3 Exceptions
Nothing in these Terms shall limit or exclude PCTC’s liability for fraud or fraudulent misrepresentation, or any liability which cannot be excluded or limited by applicable law.
9. Supplier & Third Party Liability
9.1 Third Party Suppliers
PCTC sources Goods from third-party manufacturers and suppliers. PCTC acts as an intermediary and is not liable for the acts, omissions, defaults, or insolvency of any manufacturer, freight forwarder, customs agent, or other third party involved in the supply chain.
9.2 Freight & Customs
PCTC will use reasonable care in selecting freight forwarders and logistics partners but accepts no liability for loss, damage, delay, or non-delivery arising from freight operations or customs procedures. The Customer is advised to maintain adequate cargo insurance for all shipments.
10. Force Majeure
10.1 Force Majeure Events
PCTC shall not be in breach of these Terms nor liable to the Customer for any failure or delay in performing its obligations to the extent that such failure or delay is caused by circumstances beyond PCTC’s reasonable control, including but not limited to acts of God, pandemic, war, sanctions, trade embargoes, port closures, strikes, natural disasters, or government action.
10.2 Extended Force Majeure
Where such an event continues for more than 60 days, either party may cancel the affected Order by written notice, in which case PCTC will refund any sums paid less costs already reasonably and irrevocably incurred with third parties on the Customer’s behalf.
11. Intellectual Property
11.1 PCTC Content
All content on PCTC’s website and marketing materials, including images, text, and design, remains the property of PCTC or its licensors and may not be reproduced without prior written consent.
12. Confidentiality & Data
12.1 Data Use
PCTC will use any personal or business information provided by the Customer solely for the purposes of fulfilling the Order and related communication, in accordance with PCTC’s Privacy Policy. PCTC will not sell or share Customer data with third parties except as necessary to fulfil an Order.
13. Assignment
13.1 Customer Assignment
The Customer may not assign, transfer, or subcontract any rights or obligations under these Terms without PCTC’s prior written consent.
13.2 PCTC Assignment
PCTC may assign or subcontract its rights and obligations, including to sourcing agents, freight forwarders, or manufacturers, as reasonably required to fulfil an Order.
14. Severability
14.1 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
15.1 Entire Agreement
These Terms, together with the Order Confirmation issued by PCTC, constitute the entire agreement between the parties in relation to the supply of Goods and supersede any prior discussions, representations, or agreements, whether written or oral. No variation to these Terms shall be binding unless agreed in writing by PCTC.
16. Dispute Resolution
16.1 Good Faith Negotiation
In the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, or the breach, termination, or validity thereof, the parties shall first attempt to resolve the matter through good faith negotiation. Either party may initiate this process by giving written notice to the other party identifying the nature of the dispute. The parties shall have 30 days from the date of such notice to resolve the dispute by negotiation (the “Negotiation Period”), unless both parties agree in writing to extend this period.
16.2 Binding Arbitration
If the dispute cannot be resolved by negotiation within the Negotiation Period, the dispute shall be finally settled by binding arbitration. Arbitration shall be conducted in the English language under the Rules of Arbitration of the International Chamber of Commerce (ICC) by a single arbitrator appointed in accordance with those rules. The seat of arbitration shall be Panama City, Republic of Panama. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.
16.3 Costs of Arbitration
The costs of arbitration, including the arbitrator’s fees, shall be borne as determined by the arbitrator in the award. Each party shall bear its own legal costs unless the arbitrator determines otherwise.
16.4 Interim Relief
Nothing in this Clause 16 shall prevent either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction where necessary to protect its legitimate interests pending the outcome of arbitration. The seeking of such interim relief shall not be deemed a waiver of the right to arbitrate.
17. Governing Law
17.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law provisions.
17.2 Cross-Border Operations
The parties acknowledge that Pan Caribbean Trading Co. operates across multiple jurisdictions and that the Customer may be located in a jurisdiction other than Panama. The parties agree that these Terms represent the entire agreement between them regardless of the jurisdiction in which either party is located, and that the dispute resolution mechanism set out in Clause 16 shall apply to any dispute wherever it arises.
